Terms of Service

1. The Service

OpenWorksheet provides a library of downloadable spreadsheet templates. Browsing the catalogue is free. Downloading template files requires an account and an active plan.

2. Plans

Monthly plan. The monthly plan is a subscription that lets you download up to 10 different templates per billing period from the library. Downloading a template you already downloaded in the same billing period does not count again. Unused downloads do not carry over to the next period. Templates you have downloaded remain licensed to you under section 3 after your subscription ends.

Lifetime access (no longer sold). Customers who bought the earlier one-time "lifetime access" offer keep unlimited downloads of the library for as long as the Service operates, on the terms under which they purchased it. "Lifetime" refers to the lifetime of the Service and does not imply any minimum duration.

Lifetime access from a redemption code. Some partner stores sell codes that unlock lifetime access. A redeemed code gives the account that redeemed it a monthly download allowance (the number of templates stated when the code was sold, counted per calendar month in UTC) for as long as the Service operates. "Lifetime" refers to the lifetime of the Service and does not imply any minimum duration. Each code can be redeemed once, and each account can redeem one code. Access is tied to that account and cannot be transferred. Refunds for codes are handled by the store where the code was bought; if a code is refunded or charged back, we may deactivate it and the access it granted.

Every plan is a license to use the templates, not a transfer of ownership.

3. License and permitted use

Subject to these Terms, we grant you a non-exclusive, non-transferable license to download, edit, and use the templates for personal, business, and client work. You may not: (a) resell, redistribute, or sublicense the templates in their original or substantially unmodified form; (b) include the templates in a competing template library or marketplace; or (c) represent the templates as your own original product for resale.

4. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must provide accurate information and are responsible for keeping it up to date.

5. Payment

The monthly plan costs $9 per month, charged at the start of each billing period. Your subscription renews automatically every month until you cancel. Payments are processed by Creem, our payment provider and merchant of record.

Cancelling. You can cancel at any time from your account page. Your plan stays active until the end of the billing period you have already paid for, and you will not be charged again. We do not provide partial refunds for unused time in a period, except as set out in our Refund Policy or required by law.

Price changes. We may change the monthly price. We will tell you by email at least 30 days before a new price applies to your subscription, so you can cancel first if you prefer.

6. Refunds

Refunds are governed by our Refund Policy, which forms part of these Terms.

7. Intellectual property

The Service, its content, and the templates are protected by intellectual property laws. Except for the license granted above, all rights remain with Webnox Sarl or its licensors.

8. Disclaimers

The templates are provided "as is" for general informational and productivity purposes. They are not financial, legal, tax, or professional advice. You are responsible for verifying that any template meets your needs before relying on it.

9. Limitation of liability

To the maximum extent permitted by law, Webnox Sarl will not be liable for any indirect, incidental, or consequential damages arising from your use of the Service or the templates. Our total liability is limited to the amount you paid us.

10. Changes

We may update these Terms from time to time. Material changes will be reflected by the "Last updated" date above. Continued use of the Service after changes constitutes acceptance.

11. Governing law

These Terms are governed by the laws of the jurisdiction in which Webnox Sarl is registered, without regard to conflict-of-law principles.
